Mena – served as contributing editors for the tenth edition of Acquisition Finance, a Lexology Getting the Deal Through publication. Acquisition Finance is a reference guide detailing the provisions and obligations for debtors and creditors in structuring international acquisitions. The publication comprises chapters on France, Japan, Luxembourg, Mexico, Netherlands, Spain, Switzerland and the United States. The Willkie attorneys contributed the U.S. chapter, which provides a comprehensive overview on a host of topics including the general structuring of financing, guarantees and collateral, debt commitment letters and acquisition agreements, enforcement of claims and insolvency, and recent trends. The co-authoring group reflects the leadership of Willkie’s Finance Department and its depth of talent, with partner Sarah B. Gelb, counsel Charlotta Chung and knowledge management attorney Han Rhee joining Viktor Okasmaa and Andres C. Willkie represented B&G Foods, Inc. in connection with its issuance of $550 million of senior secured notes and the amendment of its $1.55 billion amended and restated credit agreement. B&G Foods announced on September 26 that it completed its private offering of $550 million aggregate principal amount of 8.000% senior secured notes due 2028. The transaction followed B&G Foods’ seventh amendment to its amended and restated credit agreement. B&G Foods, a public company, and its subsidiaries manufacture, sell and distribute branded shelf-stable and frozen foods across the United States (including Puerto Rico) and Canada. Willkie is representing B&G Foods, Inc. (NYSE: BGS) in its acquisition of the broth and stock business of Del Monte Foods Corporation II Inc. and its affiliates for approximately $110 million in cash. On January 15, B&G Foods announced that it entered into an agreement to acquire the broth and stock business, including the College Inn and Kitchen Basics brands. It was the winning bidder for the broth and stock business following a competitive auction process that was conducted in connection with the Chapter 11 bankruptcy proceedings of Del Monte Foods Corporation II Inc. and certain of its affiliates. B&G Foods and its subsidiaries manufacture, sell and distribute high-quality, branded shelf-stable and frozen foods across the United States, Canada and Puerto Rico.
