(the “Company”) of $600 million aggregate principal amount of 4.200% Senior Notes due 2027 and $600 million aggregate principal amount of 4.750% Senior Notes due 2034. The Company intends to use the net proceeds of the offering to partially finance the Company’s acquisition of BIOVECTRA, a Canadian based contract development and manufacturing organization and to prepay a portion of outstanding borrowings under the Company’s term loan facility. Diversey currently intends to use the net proceeds from the proposed offering for general corporate purposes, which may include capital expenditures, potential acquisitions, growth opportunities and strategic transactions. The offering is expected to close on November 15, 2021, subject to customary closing conditions. Kirkland advised Apax Partners portfolio company Paycor HCM, Inc. on its 12 million share secondary follow-on offering by Apax Partners and certain other selling stockholders. The offering priced on Oct. 15, 2021, at $32 per share, which represented virtually no discount to the stock’s trading price at the time of pricing. Kirkland also represented Apax Partners and Paycor with its IPO, which priced at $23 per share in July 2021.
