The Firm recently represented the initial purchasers in the offering of $400 million aggregate principal amount of 3.125% Convertible Senior Notes due 2030 by Kosmos Energy Ltd. (“Kosmos”), which includes the full exercise of the initial purchasers’ option to purchase additional Notes. The size of the offering was upsized from $300 million. Kosmos used the net proceeds to (i) repay a portion of outstanding indebtedness under Kosmos’ commercial debt facility, (ii) pay the cost of the capped call transactions and (iii) pay fees and expenses related to the offering.~~The Firm also represented certain hedge counterparties in related capped call transactions, entered into concurrently with the notes offering.~~Kosmos is a full-cycle deepwater independent oil and gas exploration and production company focused along the Atlantic Margin. Since 2014, the Firm has represented the financing sources on over $3 billion of debt and equity financings by Kosmos.
