Simpson Thacher represented Q-Park, a portfolio company of KKR and a leading parking infrastructure owner and operator in the Western European market, in connection with its 144A and Regulation S offering of €350,000,000 aggregate principal amount of 3.875% senior secured notes due 2031 and €300,000,000 aggregate principal amount of floating rate senior secured notes due 2031, and its concurrent tender offer for any and all outstanding 2.000% senior secured notes due 2027 (the “2027 Notes”) issued pursuant to Regulation S.  The net proceeds from the offering were used to (i) purchase the 2027 Notes validly tendered and (ii) redeem by way of a satisfaction and discharge of all of the remaining 2027 Notes not purchased in the tender offer. The closing of the offering and settlement of the tender offer occurred on January 22, 2026.
