(NASDAQ: ESAC), a special purpose acquisition company, on its definitive business combination agreement with Sunergy Renewables, LLC (Sunergy), a leading provider of residential solar and energy efficiency solutions. Upon closing of the business combination, which is expected during the fourth quarter of 2023 subject to customary closing conditions, Sunergy will become a publicly traded company with an expected pro forma enterprise value of $475 million.
