Milbank LLP represented Stratolaunch, LLC in connection with its $17 million “stalking horse” bid for select Virgin Orbit Holdings, Inc. assets, including its carrier aircraft and its related parts and equipment. The acquisition of the carrier aircraft, a Boeing 747-400 carrier aircraft, will further expand Stratolaunch’s air-launch fleet. The sale was approved by the US Bankruptcy Court for the District of Delaware on May 25, 2023, and the acquisition is expected to close by July 31, 2023. Stratolaunch, a portfolio company of Cerberus Capital Management, L.P., is a technology accelerator that enables reusable and routine hypersonic testing through world-class aerospace vehicles and in-flight test capabilities. Upon closing of the acquisition, the additional aircraft will be repurposed as a launch platform for Stratolaunch's Talon-A reusable hypersonic testbeds and is expected to be fully operational in 2024. The expansion of Stratolaunch's fleet will increase its in-flight test capacity and ability to support government and commercial customers globally. Global Corporate/M&A partner Neil Whoriskey and Environmental special counsel Thomas Goslin also contributed.~~The chapter discusses how environmental, social, and governance (“ESG”) considerations, which have long been important for understanding risk in project finance transactions, now present new dimensions of investment, credit and reputational risk. At the same time, the chapter explains, how investors and shareholders are searching for greater ESG accountability and transparency and pushing for better reporting to assess the impact of their investments. Milbank LLP advised leading alternative investment firm Cerberus Capital Management, L.P. on its acquisition of a controlling interest in M1 Support Services. The transaction closed on May 28, 2024. M1 provides aircraft maintenance, repair and overhaul to the US government, including the US Air Force, Army and Navy, along with a wide range of government agencies. Under the ownership of Cerberus, M1 will invest in its company infrastructure and expand its capabilities to meet the aviation requirements of the US and its global partners. Concurrently with the transaction, M1 will appoint a new chief executive officer. Founded in 1992, Cerberus manages approximately $65 billion in assets, with a dedicated investment platform focused on supply chain integrity and national security.
