Kirkland & Ellis advised Talen Energy Corporation (NASDAQ: TLN), a leading independent power producer, on a definitive agreement to add approximately 2.6 gigawatts of natural gas generation capacity to Talen’s portfolio through the acquisition of the Waterford Energy Center and Darby Generating Station in Ohio and the Lawrenceburg Power Plant in Indiana from Energy Capital Partners. The acquisition will substantially expand Talen’s presence in the western PJM market and add additional efficient baseload generation assets to its fleet. The purchase price is $3.45 billion, consisting of approximately $2.55 billion in cash and approximately $900 million in Talen common stock. The transaction is expected to close in mid-2026 and is subject to the satisfaction of customary closing conditions. Kirkland & Ellis advised Beacon Offshore Energy LLC on the divestment of its non-operated interests in certain fields in the deepwater Gulf of Mexico in accordance with a previously executed definitive agreement with GOM 1 Holdings Inc., an affiliate of O.G. Oil & Gas Limited. The divestment includes Beacon’s 18.7% interest in the Buckskin producing field, 17% interest in the Leon development, 16.15% interest in the Castile development, 0.5% interest in the Salamanca FPS/lateral infrastructure and 32.83% interest in the Sicily discovery. Kirkland & Ellis is advising Bernhard Capital Partners on an agreement in which its portfolio company, Delta Utilities, will acquire natural gas distribution operations in both Louisiana and Mississippi from CenterPoint Energy, Inc. The systems serve approximately 381,000 residential and commercial customers across both states. The transaction was announced February 20, 2024. Kirkland & Ellis counseled Ares Management Infrastructure Opportunities funds in an investment in a partnership with ENGIE North America holding a 2.7 GW portfolio consisting of 15 projects in operation across ERCOT, MISO, PJM and SPP, of which 53% is solar, 25% wind and 22% co-located battery storage capacity. This transaction is one of the largest sales completed in the renewables sector based on total capacity. ENGIE will retain a controlling share in the portfolio and will continue to operate and manage the assets. In connection with the investment, Kirkland also advised Ares on securing a new backleveraged first lien credit facility, which was jointly arranged by MUFG Bank, Ltd. and BNP Paribas.
