Kirkland & Ellis is advising private equity firm Advent International on its proposed $6.3 billion acquisition of Canada-based global payments processor Nuvei Corporation (Nasdaq: NVEI) (TSX: NVEI). The transaction was announced April 1, 2024. Under the terms of the definitive agreement, shareholders will receive US$34.00 per share in cash. Canadian shareholders Philip Fayer, Novacap and CDPQ will indirectly own or control approximately 24%, 18% and 12%, respectively, of the equity in the resulting private company as part of the agreement.
