Paul, Weiss is advising GSK plc in its $950 million all-cash acquisition of 35Pharma Inc., a Canada-based, private, clinical-stage biopharmaceutical company specializing in the development of novel protein-based therapeutics. The deal includes the acquisition of HS235, a potential best-in-class investigational medicine for the treatment of pulmonary hypertension and pulmonary arterial hypertension. Paul, Weiss advised Brookfield Asset Management in connection with the chapter 11 cases of PosiGen, a national residential solar and energy efficiency provider. Brookfield, which held $600 million of the company’s debt, provided prepetition bridge financing and post-petition debtor-in-possession financing to PosiGen and ultimately acquired substantially all of PosiGen’s assets through a combination of a bankruptcy sale of the chapter 11 debtors’ assets and a strict foreclosure on their non-debtor affiliates’ assets. The U.S. Bankruptcy Court for the Southern District of Texas approved PosiGen’s chapter 11 plan, providing for a litigation trust in which Brookfield holds a majority of the beneficial interests. Paul, Weiss also advised Brookfield affiliates in related litigation filed by Connecticut Green Bank in Connecticut federal court prior to PosiGen’s chapter 11 filing on November 24, 2025. That case was dismissed with prejudice on February 10 following a settlement. Paul, Weiss is advising General Atlantic in its all-cash take-private acquisition of European Wax Center, Inc., a leading franchisor and operator of out-of-home body waxing services in the United States. Under the agreement, General Atlantic, which initially invested in European Wax Center in 2018 and owns 42% of its common stock, will acquire all outstanding shares of Class A common stock that it doesn’t already own. European Wax Center shareholders will receive $5.80 per share in cash for an implied equity value of approximately $330 million. Paul, Weiss is advising Eli Lilly and Company in its acquisition of Orna Therapeutics, Inc., a biotechnology company dedicated to engineering immune cells in vivo. Under the terms of the agreement, Lilly will acquire Orna for up to $2.4 billion in cash, inclusive of an upfront payment and subsequent payments upon achievement of certain clinical development milestones. Orna is advancing a new class of therapeutics designed to allow the patient’s own body to generate cell therapies that can treat underlying disease.
