ADT is a leading provider of smart home and small business security services. As part of the offering, ADT repurchased 16 million shares of common stock from the underwriters as part of the company’s existing share repurchase program. Barclays Capital Inc., Citigroup Global Markets Inc. and BTIG, LLC acted as representatives of the underwriters for the offering. As part of the multibillion-dollar deal, MassMutual has become a minority equity owner in and capital partner to the ATLAS business and has agreed to invest in Apollo’s Asset Backed Finance franchise. Paul, Weiss is advising Apollo in the formation by certain affiliates of Apollo and a Citigroup subsidiary of a first-of-its-kind $25 billion private credit, direct lending program. Under the terms of the agreement, the program will include participation from Mubadala Investment Company as Apollo’s strategic partner, as well as Apollo’s subsidiary Athene, both of which will have the opportunity to join commitments appropriate for their respective mandates. The program marks the largest relationship of its kind. The strategic program will finance approximately $25 billion of debt opportunities over the next several years, significantly enhancing access to the private lending capital pool for corporate and sponsor clients. It will cover North America initially, with the potential to expand to additional geographies. Paul, Weiss is advising Apollo Global Management and ATLAS SP Partners, L.P. in Apollo’s acquisition of $8 billion of senior secured financing facilities from UBS Group AG. The agreement will mark ATLAS’ evolution into a fully independent securitized credit origination platform and the final step in UBS’ carve-out of Credit Suisse’s Securitized Products Group. Under the terms of the transaction, ATLAS SP will conclude its transition services and investment management agreements with UBS. ATLAS SP, which launched in February 2023, was created out of Credit Suisse’s securitized products business—a transaction on which Paul, Weiss also advised. Apollo, through its affiliates, is the majority shareholder of ATLAS SP and serves as a long-term capital partner to the company, alongside additional third-party capital partners. Paul, Weiss is advising Envestnet, Inc., a leading provider of integrated technology, intelligent data and wealth solutions, in its $4.5 billion take-private acquisition by Bain Capital. Under the terms of the agreement, Envestnet shareholders will receive $63.15 in cash for each share of common stock they own. Strategic partners BlackRock, Fidelity Investments, Franklin Templeton and State Street Global Advisors have committed to investing in the proposed transaction and will hold minority positions in the private company upon the deal’s completion. Reverence Capital will also participate in the transaction, which is expected to close in the fourth quarter of 2024, subject to customary closing conditions, including stockholder and regulatory approvals.
