Paul, Weiss is advising Lennar Corporation, a $45 billion publicly traded homebuilder, in its acquisition of Rausch Coleman Homes, a residential homebuilder based in Fayetteville, Arkansas. Under the terms of the deal, Lennar will acquire Rausch Coleman’s homebuilding operations and intends to assign the purchase of, and option, Rausch Coleman’s land assets with a third party. The deal will expand Lennar’s footprint into new markets in Arkansas, Oklahoma, Alabama, Kansas and Missouri while adding to its existing footprint in Texas, Oklahoma, Alabama and Florida. Financial terms of the transaction, which is expected to close in the first quarter of 2025, were not disclosed. Paul, Weiss advised Apollo Global Management in its offering of $500 million aggregate principal amount of its 6.000% fixed-rate resettable junior subordinate notes due 2054. The notes are fully and unconditionally guaranteed by certain Apollo subsidiaries. Apollo will use the net proceeds from the offering for general corporate purposes, including to redeem in full its $300 million aggregate principal amount outstanding of the 4.950% fixed-rate resettable subordinated notes due 2050. Paul, Weiss is advising global investment firm 3G Capital as selling shareholder in a $446 million underwritten secondary public offering of common shares of Restaurant Brands International Inc. (RBI). The common shares to be sold relate to an exchange notice delivered by an affiliate of 3G Capital to exchange 6,528,013 Class B exchangeable limited partnership units of RBI LP for an equal number of RBI’s common shares. BoA Securities is acting as sole book-running manager. In connection with the offering, an affiliate of 3G Capital entered into a forward sale agreement with BofA Securities as forward purchaser. The forward purchaser and its affiliates are expected to borrow and sell RBI shares through the underwriter to hedge their economic exposure under the forward sale agreement. Final settlement of the exchange and forward transaction is expected by August 30. TI Fluid Systems is a London-listed, market-leading global manufacturer of thermal and fluid system solutions for the full range of current and developing vehicle architectures. Under the terms of the transaction shareholders of TI Fluid Systems will be entitled to receive 200 pence per share, valuing TI Fluid Systems at an enterprise value of approximately £1.83 billion. The deal is expected to close in the first half of 2025, subject to shareholder and other legal and regulatory approvals.
