Kirkland & Ellis advised the underwriters in an offering of $172 million of floating rate notes due 2074 by Exxon Mobil Corporation (NYSE: XOM), one of the largest publicly traded international energy and petrochemical companies. The transaction was led by joint book-running managers Morgan Stanley & Co. LLC, UBS Securities LLC, RBC Capital Markets, LLC and Deutsche Bank Securities Inc. The offering closed on October 8, 2024. Kirkland & Ellis advised semiconductor supplier Renesas Electronics Corp. (TSE: 6723) on a supply agreement with chipmaker Wolfspeed Inc. (NYSE: WOLF), which will allow Renesas to secure a 10-year supply commitment of silicon carbide bare and epitaxial wafers from Wolfspeed. As part of the agreement, Renesas provided a $2 billion deposit. Kirkland & Ellis is advising pharmaceutical company AbbVie Inc. (NYSE: ABBV) on the proposed $8.7 billion acquisition of neuroscience drug company Cerevel Therapeutics (NYSE: CERE). The transaction, which was announced December 6, 2023, will strengthen AbbVie’s neuroscience pipeline with the addition of Cerevel’s clinical-stage and preclinical therapeutic candidates with potential across several diseases, including schizophrenia, Parkinson’s disease and mood disorders. AbbVie is purchasing all the outstanding shares of Cerevel for $45 per share in cash. The boards of directors of both companies have approved the deal, which is expected to close in the middle of 2024 subject to Cerevel shareholder approval, regulatory approvals and other customary closing conditions. Kirkland & Ellis is advising Oaktree Capital Management, L.P. on the $420 million acquisition of Ambac Financial Group, Inc.’s (NYSE: AMBC) legacy financial guarantee insurance businesses, Ambac Assurance Corporation and Ambac UK. Oaktree will also receive warrants to acquire up to 9.9% of Ambac common stock at a strike price of $18.50. The transaction’s closing is subject to customary conditions, including regulatory approvals in the U.S. and U.K. and approval by Ambac’s shareholders, and is expected to take place in the fourth quarter of 2024 or first quarter of 2025.
