Kirkland & Ellis counseled Talen Energy Corp. (OTCQX: TLNE) on the sale of its 960-megawatt Cumulus data center campus in northeast Pennsylvania to a major cloud service provider. As part of the transaction, Talen and the cloud service provider have agreed to a long-term power purchase agreement whereby Talen will sell carbon-free, behind-the-meter power to the service provider from Talen’s adjacent Susquehanna nuclear plant. Willkie represented Highline Aftermarket Investments, LLC, a subsidiary of The Sterling Group. On October 1, Willkie client Highline Aftermarket Investments, LLC, a majority-owned subsidiary of The Sterling Group entities, signed a definitive agreement to be acquired by an affiliate of Pritzker Private Capital. The transaction closed on November 9, 2020. Headquartered in Memphis, Tennessee, Highline Aftermarket is a leading national distributor of automotive products, with 15 distribution centers and eight state-of-the-art manufacturing facilities serving multiple channels across the aftermarket industry. With more than 500 employees, Highline serves as an important link between manufacturers and customers, offering a robust portfolio of national brands, original-equipment replacement products, private-label goods, and in-house chemical blending and packaging. The multidisciplinary Willkie deal team was led by partners Bruce Herzog and Scott Miller, and included partners Hillel Jacobson, Mark Holdsworth, David Tarr; counsel Garrett Johnston, and associates David Updegrove and Jacob Volz.

Kirkland & Ellis advised Talen Energy Corp., an independent power producer, on its acquisition of TeraWulf Inc.’s equity interest in Nautilus Cryptomine, a 200-MW nuclear-powered bitcoin mining facility in Berwick, Pennsylvania. As a result of the transaction, Talen now owns 100% of Nautilus.
