Simpson Thacher advised KKR, a leading global investment firm, and Global Technical Realty (“GTR”), a multi-billion dollar European built-to-suit data center platform, in connection with KKR’s additional $1.5 billion equity commitment into GTR. In connection with this investment, Oak Hill Capital (“Oak Hill”), a thematic, middle-market private equity firm, will join as an investor in the company, committing approximately $400 million. The new commitments from KKR and Oak Hill will support GTR’s substantial development pipeline, including additional greenfield capacity and new market entries across Europe to meet rising demand for high-performance and power-dense compute and cloud infrastructure. With a growing operating team and multiple projects already in execution, GTR is positioned to scale rapidly across Europe as demand for AI-ready data center capacity continues to accelerate. Morgan Securities LLC, in the offering of $143.75 million aggregate principal amount of 4.25% Convertible Senior Notes due 2029 by AMC Networks Inc., which includes the full exercise of the initial purchasers’ option to purchase additional Notes. AMC Networks intends to use the net proceeds from this offering for general corporate purposes, which may include the repayment of indebtedness.~~AMC Networks (NYSE: AMCX) is a global entertainment company known for its popular and award-winning content. The Company distributes its content to audiences globally on an array of distribution platforms, including linear networks, subscription streaming services and other ad-supported streaming platforms, as well as through licensing arrangements. Simpson Thacher recently represented Peloton Interactive, Inc. (“Peloton”) in connection with a $1.35 billion debt refinancing. (“Cinemark USA”), a wholly-owned subsidiary of Cinemark Holdings, Inc. (“Cinemark”) of its $500 million aggregate principal amount of 7.0% Senior Notes due 2032.~~Simpson Thacher also represented Wells Fargo Securities LLC as dealer manager for Cinemark USA’s concurrent cash tender offer to purchase any and all of its outstanding $405 million aggregate principal amount of 5.875% Senior Notes due 2026.~~Cinemark USA used a portion of the net proceeds from the offering to fund the settlement of the tender offer and intends to use the remaining net proceeds to pay related fees and expenses and any remainder for general corporate purposes.~~Cinemark operated a total of 502 theaters and 5,708 screens in 42 states in the United States and in 13 countries throughout South and Central America as of March 31, 2024.~~The Simpson Thacher team for the transaction included Ken Wallach, David Azarkh, Tony Rim, Erin Camia and Sally Jo (Capital Markets); Michael Mann (Tax); Jennie Getsin (Blue Sky); Jeanne Annarumma and J.
