Freshfields Bruckhaus Deringer LLP (‘Freshfields’) advised Phoenix Tower International (‘Phoenix’), a Blackstone portfolio company, on its definitive agreement with Cellnex Telecom to purchase over 3,200 telecommunications sites in very dense areas in France, among which 1,226 sites with SFR as main client and 2,000 sites acquired by Phoenix and its joint venture partner Bouygues Telecom. With these latest transactions, along with its previously announced build program with Bouygues Telecom, Phoenix will own and operate over 5,000 sites in France in the coming years, making it one of the largest independent wireless infrastructure providers in the country. Closing is subject to customary regulatory approvals. Freshfields Bruckhaus Deringer (‘Freshfields’) a conseillé Phoenix Tower International, l'un des principaux fournisseurs mondiaux d'infrastructures sans fil, dans le cadre de la conclusion d’un accord de construction « Build-to-Suit » avec Iliad, l'un des opérateurs de réseau mobile à la croissance la plus rapide en Italie. Cet accord prévoit le développement de jusqu'à 1900 nouveaux sites de télécommunications dans des zones densément et moyennement densément peuplées, permettant d'étendre et de densifier le réseau mobile 4G/5G d'Iliad. Cette opération s'inscrit dans la stratégie de croissance européenne de Phoenix Tower International en lui permettant de renforcer sa présence en Italie. Dans le cadre de cet accord, Phoenix Tower International garantit à Iliad un accès à long terme à ces sites à des conditions préférentielles, soutenant ainsi l'engagement d'Iliad à fournir des services mobiles de haute qualité à sa clientèle. La réalisation de l’opération est soumise aux autorisations règlementaires habituelles. L’équipe Freshfields était coordonnée par Sami Jebbour, associé, avec Juliette Sulli, et Thibault Dubrule, collaborateurs, sur les aspects corporate. Freshfields Bruckhaus Deringer ('Freshfields') advised EKINOPS on the implementation of several financing facilities for an aggregate amount of €100m to support its external growth strategy. Ekinops, leading provider of telecommunications solutions for telecom operators and enterprises, has secured this financing which is intended to provide the company with financial resources to support its development and in particular its external growth strategy. This new financing, secured by a banking pool comprising several credit institutions, consists of: An external growth facility, intended to finance one or more external growth transactions and related costs, for a confirmed amount of €50m (which can be increased to €90m under certain conditions) with a 7-year maturity; and A revolving credit facility, intended to finance the Group's general needs, for a maximum amount of €10m. This new financing diversifies Ekinops' sources of financing, extends its debt maturity, and reinforces its balance sheet in an extremely competitive market environment. The trust placed in Ekinops attests to the Group's excellent financial health, and to the support of its banking partners. Freshfields advised EKINOPS with a finance team in Paris led by partner Stéphanie Corbière with associates Samvel Der Arsenian and Gabrielle Chino.
