Milbank LLP is representing Sun Country Airlines (NASDAQ: SNCY) in its approximately $1.5 billion cash and stock acquisition by Allegiant (NASDAQ: ALGT). Bermann. Sun Country shareholders will receive 0.1557 shares of Allegiant common stock and $4.10 in cash for each Sun Country share owned. Upon closing, Allegiant and Sun Country Airlines shareholders will own approximately 67% and approximately 33%, respectively, of the combined company on a fully diluted basis. Allegiant will continue to be the publicly traded parent company with both airlines operating under their respective names until the operations are combined. Milbank was recognized for its transactional pro bono efforts by Pro Bono Partnership at a Volunteers of the Year event held on May 6 at Hudson Yards. Pro Bono Partnership is a nonprofit organization that provides free business and transactional legal help to other nonprofits serving underrepresented people in New York, New Jersey and Connecticut. “It is an honor to recognize Milbank as our Volunteer of the Year for the firm’s outstanding work with nonprofits in New York State,” said Nancy Eberhardt, Executive Director of Pro Bono Partnership. “Thanks to our dedicated volunteers, like those at Milbank, nonprofits can focus on their missions without the burden of legal fees. Milbank LLP advised an ad hoc group of lenders to Anastasia Beverly Hills in connection with a comprehensive agreement for the recapitalization and refinancing of more than $600 million of the company’s funded debt. The recapitalization was unanimously supported by the company’s lenders. The transactions provide for the company’s founder, Anastasia Soare, to make a $225 million equity investment which will be used to fund a $200 million paydown of the lenders’ claims. In addition, the lenders agreed to equitize approximately $156 million of their claims and receive approximately $250 million in takeback loans. In connection with the closing of the transactions, the company reversed its dropdown of intellectual property assets, preventing any erosion of the lenders’ collateral position. The transactions closed on December 23, 2025, and served to substantially deleverage Anastasia Beverly Hills, enhance liquidity, and position it to invest in its growth strategy. Anastasia Beverly Hills creates prestige cosmetics for a passionate prosumer audience. Soare was first to introduce brow shaping followed by a product line based on her patented Golden Ratio Eyebrow Shaping Method and is widely credited for fueling the multi-million dollar business that surrounds the category.
