Paul, Weiss is advising Carrier Global Corporation, a global leader in intelligent climate and energy solutions, in the sale of its commercial and residential fire business to an affiliate of Lone Star Funds for an enterprise value of $3 billion. The transaction is expected to close by the end of 2024, subject to regulatory approvals and customary closing conditions. The transaction marks a critical milestone in Carrier’s portfolio transformation following its acquisition of Viessmann Climate Solutions, successful divestitures of its industrial fire and global access solutions businesses, and pending sale of its commercial refrigeration business to Haier—all deals on which Paul, Weiss also advised. Paul, Weiss is advising Madison Dearborn Partners on its strategic growth investment in the merger of accounting and advisory firm Nichols Cauley, insurance brokerage Partners Risk Services and transactions advisory firm JGH Consulting. The investment will support the merging businesses’ combined platform, which will provide accounting, insurance and transaction advisory services to privately held small and midsize businesses, self-made entrepreneurs and family-owned companies. The merger is expected to close in the first quarter of 2026. Following the closing of the transaction, Nichols Cauley will operate in an alternative practice structure. Nichols Cauley & Associates, LLC, a licensed CPA firm, will provide attest services and Nichols Cauley Advisory Group, LLC will provide business advisory, tax, and other non-attest services. Paul, Weiss is advising funds and affiliates managed by Apollo in their joint venture with Intel Corporation related to Intel’s Fab 34 semiconductor wafer manufacturing facility in Leixlip, Ireland. Under the terms of the deal, announced on June 4, the Apollo funds and affiliates will lead an $11 billion investment to acquire a 49% interest in the new entity. The joint venture will have rights to manufacture wafers at Fab 34 to support long-term demand for Intel’s products and provide capacity for customers of Intel’s newly established operating segment Intel Foundry. Paul, Weiss advised leading Spanish-language media company Estrella Broadcasting, Inc., and its majority equity holder HPS Partners, in the sale of subsidiary Estrella Media’s network, content, digital and commercial operations to MediaCo Holding Inc. MediaCo operates radio stations HOT 97 and WBLS 107.5 in New York City. Under the terms of the deal brands included in the sale were the EstrellaTV network and its linear and digital video content business; Estrella Media’s digital channels, including its four FAST channels EstrellaTV, Estrella News, Cine EstrellaTV and Estrella Games; and the EstrellaTV app. Estrella Media will continue to own and operate its local radio and television stations.
