On January 24, through a remote limited-scope clinic, Willkie provided pro bono legal support to low-income New Yorkers in collaboration with Legal Services NYC and members of Willkie client Bloomberg L.P.’s Legal & Compliance Pro Bono Program. Legal Services NYC first provided training on applying for Supplemental Nutrition Assistance Program (“SNAP”) benefits and Cash Assistance through New York City’s Human Resources Administration. The Willkie/Bloomberg teams then met virtually with their clients. Volunteers assessed client eligibility and helped eligible clients submit online applications for these benefits to the NYC Human Resources Administration. After submitting the applications, volunteers provided clients with information regarding the next steps necessary to complete the process. SNAP, formerly known as “food stamps,” is a federally funded entitlement program that provides monthly funds to people to purchase food through an Electronic Benefits Transfer (“EBT”) card. Cash Assistance consists of funds transferred twice monthly to an EBT card, and is typically used for shelter and utility assistance. The attorneys’ work through this clinic significantly impacts the clients they assisted in that it facilitates their ability to provide food and shelter for themselves and their families. One client was grateful for the attorneys helping her to replace a prior EBT card that she was unaware of, which allowed her to access a SNAP account with hundreds of dollars. Another team updated their client’s account after the clinic with an upcoming electricity bill in time for the Cash Assistance program to help cover their February utility payments. All the clients received assistance to ensure they have active SNAP accounts and EBT cards. Willkie client eToro Group, the multi-asset social investment network, announced on August 17 that it signed a definitive agreement to acquire Gatsby, an options trading platform tailored to a new generation of investors. The acquisition is a key step in the diversification of eToro’s offering to U.S. users, which is currently focused on crypto and stocks. Gatsby’s integration is expected to support eToro’s goal of providing multi-asset investment tools to U.S. users as it grows its social investing network through education, innovation and enabling simple access to the assets and tools people want. eToro is a social investment network of more than 28 million registered users. It was founded in 2007 with the vision of opening up the global markets so that everyone can trade and invest in a simple and transparent way. Willkie advised HealthEquity in its approximately $455 million acquisition. On November 1, HealthEquity, Inc., the nation's largest health savings account (HSA) non-bank custodian, announced that it completed the acquisition of Further, a leading provider of HSA and consumer-directed benefit administration services, and the nation’s ninth largest HSA custodian. HealthEquity purchased Further for $455 million, with an additional purchase price of up to $45 million that may be payable dependent upon the future closing and migration of approximately 50,000 voluntary employee beneficiary association accounts. The acquisition of Further and its technology expands HealthEquity’s leadership in the growing HSA market and enhances its ability to drive growth with health plans and other go-to-market partners. With Further’s approximately 580,000 HSAs and $1.9 billion of HSA assets, HealthEquity now has approximately 6.7 million HSAs and approximately $18 billion in HSA assets. HealthEquity and its subsidiaries administer health savings accounts and other consumer-directed benefits for more than 13 million accounts in partnership with employers, benefits advisors, and health and retirement plan providers. Willkie represented Ingram Micro Holding Corporation, a leading technology company for the global information technology ecosystem, in its initial public offering that raised approximately $409 million and values the company at over $5 billion. On October 25, Ingram Micro, a portfolio company of Platinum Equity, closed its initial public offering of 18.6 million shares of its common stock sold in the aggregate by the company and Platinum Equity at a public offering price of $22.00 per share. In addition, the underwriters have an option to purchase up to an additional 2.79 million shares to cover over-allotments. Shares of Ingram Micro’s Common Stock trade on the New York Stock Exchange under the ticker symbol “INGM”. Willkie previously served as financing counsel to Platinum Equity on its $7.2 billion acquisition of Ingram Micro in 2021. On July 9, Community Brands, a portfolio company of Insight Partners, announced the acquisition by TA Associates and its name change to Momentive Software. Founded in 2017, Community Brands provides cloud-based business operations software and payment solutions to mission-driven associations, nonprofits and social good organizations.
