Paul, Weiss advised Brookfield Asset Management in connection with the chapter 11 cases of PosiGen, a national residential solar and energy efficiency provider. Brookfield, which held $600 million of the company’s debt, provided prepetition bridge financing and post-petition debtor-in-possession financing to PosiGen and ultimately acquired substantially all of PosiGen’s assets through a combination of a bankruptcy sale of the chapter 11 debtors’ assets and a strict foreclosure on their non-debtor affiliates’ assets. The U.S. Bankruptcy Court for the Southern District of Texas approved PosiGen’s chapter 11 plan, providing for a litigation trust in which Brookfield holds a majority of the beneficial interests. Paul, Weiss also advised Brookfield affiliates in related litigation filed by Connecticut Green Bank in Connecticut federal court prior to PosiGen’s chapter 11 filing on November 24, 2025. That case was dismissed with prejudice on February 10 following a settlement. Paul, Weiss is advising HgCapital and General Atlantic in connection with the all-cash take-private acquisition of leading enterprise finance management platform OneStream, Inc., valuing OneStream at approximately $6.4 billion in equity value. Paul, Weiss is also advising the HgCapital and General Atlantic consortium on the financing aspects of the acquisition. Under the terms of the transaction, OneStream shareholders will receive $24.00 per share in cash, and the HgCapital-controlled entity will acquire OneStream’s outstanding shares, including those owned by KKR. HgCapital will be OneStream’s majority voting shareholder and General Atlantic will be a significant minority investor, alongside Tidemark. The transaction is expected to close in the first half of 2026.
