Willkie represented InProduction, a leading special event service company and portfolio company of Dubin Clark, in its sale to affiliates of private equity firm ZMC. InProduction provides temporary seating, staging, structures, and scenic production for the U.S. live events industry. Dubin Clark launched the InProduction platform in 2015 and subsequently made four add-on acquisitions. Dubin Clark and ZMC announced the completion of the transaction on September 7. Dubin Clark is a private equity firm focused on lead or control investments in branded niche manufacturing and specialty services companies. Willkie advised XBP Europe, Inc., the European business of longtime client Exela Technologies, in its merger with CF Acquisition Corp. VIII. XBP Europe, a pan-European integrator of bills and payments, announced on November 29 that it completed its business combination with CF Acquisition Corp. VIII, a special purpose acquisition company sponsored by Cantor Fitzgerald. The combined company operates as XBP Europe and its shares trade on the Nasdaq Stock Market under the ticker symbol “XBP.” Exela Technologies is a business process automation leader serving more than 4,000 customers throughout 50 countries. Willkie advised Community Brands, a leading provider of cloud-based software, services and payment solutions, on the sale of its Association & Events and Nonprofit Solutions divisions to TA Associates, forming a new strategic platform, Momentive Software. On July 9, Community Brands, a portfolio company of Insight Partners, announced the acquisition by TA Associates and its name change to Momentive Software. Founded in 2017, Community Brands provides cloud-based business operations software and payment solutions to mission-driven associations, nonprofits and social good organizations. Willkie represented the founders and Atlantic Global Risk LLC (“Atlantic Group”), a leading independent transaction liability insurance broker in the United States, in connection with Howden’s acquisition of Atlantic Group. On January 5, Howden announced that it agreed to acquire Atlantic Group. The combination of Howden, the largest transaction liability insurance broker outside of the U.S., and Atlantic Group creates a new global force in the transaction liability market. Through the combination, Atlantic Group’s founders will become Howden shareholders and will take on key roles in Howden’s U.S. retail broking growth and global transactional liability strategy. Willkie advised Dubin Clark on the sale of its portfolio company United Safety & Survivability Corporation (USSC), a global manufacturer of safety and survivability solutions, to Cogenuity Partners. The sale, announced on November 5, follows a successful partnership between longtime Willkie client Dubin Clark and USSC, during which USSC underwent a notable transformation and achieved significant growth in several key areas. The company designs, engineers and manufactures some of the leading safety and survivability products for niche markets including bus, subway, light rail, transit, military, marine and first responder vehicles. Willkie previously advised Dubin Clark on numerous transactions, including four successful exits in the past 18 months. In addition to representing the firm in the sale of USSC, Willkie advised Dubin Clark on the sale of event services companies PEAK Event Services, InProduction and Curated Events. Dubin Clark is a private equity firm focused on building niche market leaders in the lower middle market. The Willkie team was led by partners Neil Townsend and Andrew Marmer.
