Paul, Weiss is advising Stonepeak, a leading alternative investment firm specializing in infrastructure and real assets, on the financing aspects of its joint venture with CMA CGM Group, a global player in sea, land, air and logistics solutions, to launch UNITED PORTS LLC. The joint venture will acquire 10 of the major CMA CGM-operated port terminals worldwide. Stonepeak will invest $2.4 billion in the endeavor for a 25% stake. As part of the transaction, Stonepeak will have the opportunity to contribute an additional $3.6 billion in funding for future joint terminal projects. The deal is expected to close in the second half of 2026, subject to customary closing conditions. Paul, Weiss is advising HgCapital and General Atlantic in connection with the all-cash take-private acquisition of leading enterprise finance management platform OneStream, Inc., valuing OneStream at approximately $6.4 billion in equity value. Paul, Weiss is also advising the HgCapital and General Atlantic consortium on the financing aspects of the acquisition. Under the terms of the transaction, OneStream shareholders will receive $24.00 per share in cash, and the HgCapital-controlled entity will acquire OneStream’s outstanding shares, including those owned by KKR.
