Global law firm Freshfields has advised the Abu Dhabi Investment Authority (“ADIA”) on its investment in a multi-asset continuation vehicle (“the CV”) that will acquire multi portfolio companies from CDH Fund V. A wholly owned subsidiary of the ADIA has acted as lead investor. The CV was formed to acquire a scaled and diversified portfolio from CDH Fund V, with a value of US$770 million as of 31 December 2024, each a leading player in its respective industry. The Freshfields team advising on the transaction was led by partners Philip Li and Tom Lawless, with support from counsels Ya Ma and James Visick, and associate Yichen Xing. Tax aspects of the transaction were advised by partners Peter Clements and Jill Gatehouse, counsel Chris Gotch, and Brandon Spears. Global law firm Freshfields has advised Macquarie Capital’s Principal Finance team on the €320m financing for the acquisition of Therme Erding by Therme Group. Located near Munich in Germany, Therme Erding is the largest wellbeing destination worldwide. With this transaction, globally recognised leader in bespoke and complex real asset financing solutions Principal Finance provided one of the largest asset-backed financings in the industry. The deal was structured by Deutsche Bank. Global law firm Freshfields Bruckhaus Deringer (‘Freshfields’) is advising CVC Capital Partners (‘CVC’), one of the world’s leading investment firms, on its carve-out acquisition of the Therakos business from global specialty pharma company Mallinckrodt. Therakos is a fully integrated extracorporeal photopheresis (ECP) delivery system for autologous immunomodulatory therapy. With approvals for use in the U.S., Canada, Europe, Japan, Australia and Latin America, it is the platform-of-choice among healthcare providers and patients to treat a range of immune-related diseases. CVC Capital Partners IX will acquire Therakos for an enterprise value of $925m, subject to customary adjustments. The transaction is expected to close in the fourth quarter of 2024.
