Freshfields Bruckhaus Deringer (‘Freshfields’) conseille Cinven, société internationale de capital-investissement, dans le cadre de ses négociations exclusives pour l’acquisition du groupe Finaxy, courtier en assurance multi-spécialiste de premier plan en France, auprès d'Ardian, un des leaders mondiaux de l’investissement privé. Fondé en 2009 et basé à Paris, Finaxy est un acteur de premier plan sur le marché français du courtage en assurance employant plus de 330 personnes, ayant connu une croissance organique soutenue tout en mettant en œuvre une stratégie efficace de croissance externe, avec notamment plus de 30 acquisitions réalisées en France. Le fonds Cinven axé sur le secteur des services financiers, le Strategic Financials Fund, réalisera l’investissement dans Finaxy, s’appuyant sur sa forte expérience dans le courtage en assurance. Cinven travaillerait en étroite collabor’tion avec l'équipe de direction de Finaxy et apporterait ses ressources et capitaux pour accélérer la stratégie de croissance externe du Groupe sur le marché français, stimuler la croissance organique en attirant de nouveaux talents, tout en’soutenant l'engagement de Finaxy envers ses clients et partenaires de long terme. L’opération est soumise à l'approbation des autorités réglementaires et à d'autres conditions suspensives habituelles. Freshfields Bruckhaus Deringer (‘Freshfields’) has advised longstanding client CVC Capital Partners VIII (‘CVC Funds’) and its portfolio company Stock Spirits on the entry into exclusive negotiations for the simultaneous acquisitions of the Clan Campbell Blended Scotch Whisky brand and the Dugas group. Both proposed transactions are subject to consultation with the relevant employee representative bodies and relevant regulatory procedures. Clan Campbell is one of the leading brands in the blend-12 yo Scotch whisky category in France, with presence also in other European markets such as Spain, Luxembourg, and Italy. Its range has increased in recent years with the addition of Clan Caribbean rum-based spirit drink. The Dugas group, established in 1980, is a leader in the value-add distribution of premium spirits in France.  It offers one of the widest ranges of exclusive and premium brand name spirits in France and specialises in the fast-growing rum and whisky segments. Freshfields originally advised CVC Funds on its take-private acquisition of the Stock Spirits group in 2021.
