Paul, Weiss advised global credit investing firm Silver Point Capital in the formation of its latest opportunistic credit fund. The fund closed with $4.6 billion in total commitments, exceeding the $4 billion target and more than double the size of its 2019 predecessor fund, which closed at $1.7 billion. The fund, which has a longer-locked, drawdown structure, will invest in cyclically driven market dislocations, including traded credit and restructuring and process-oriented investments. Paul, Weiss is advising General Atlantic in its all-cash take-private acquisition of European Wax Center, Inc., a leading franchisor and operator of out-of-home body waxing services in the United States. Under the agreement, General Atlantic, which initially invested in European Wax Center in 2018 and owns 42% of its common stock, will acquire all outstanding shares of Class A common stock that it doesn’t already own. European Wax Center shareholders will receive $5.80 per share in cash for an implied equity value of approximately $330 million. The transaction, announced on February 10, is expected to close in mid-2026, subject to customary closing conditions. Paul, Weiss is advising General Atlantic on its participation in a proposed €1.6 billion public tender offer for Esker SA. General Atlantic, together with Bridgepoint and members of Esker’s management, announced an all-cash offer to acquire 100% of the shares in Esker. Esker is a leading French software company and its shares are listed on Euronext Growth Paris. The transaction is expected to launch and close by the end of 2024 or early 2025, subject to receipt of French securities exchange approvals and other customary closing conditions and regulatory approvals. Paul, Weiss is advising General Atlantic Credit, General Atlantic’s dedicated credit investment platform, in its financing support for Transcendia Holdings, Inc.’s recapitalization transaction. General Atlantic Credit’s Atlantic Park Fund will provide a new first lien credit facility in support of the recapitalization and capital infusion led by an investment fund managed by Industrial Opportunity Partners (IOP) and investment funds managed by Goldman Sachs Asset Management. The transaction will provide Transcendia, a leading manufacturer and converter of custom engineered films, with $114 million in new capital; eliminate more than $200 million of the company's debt; and further strengthen Transcendia's competitive position in the market with additional operating resources. As a result of the transaction, IOP will assume majority ownership of Transcendia, while Goldman Sachs Asset Management, its existing equity sponsor, will maintain a significant minority stake.
