The U.S. credit facilities and high-yield notes offering closed on Wednesday, April 10, 2024. The UK credit facility is expected to close in May 2024. Kirkland & Ellis advised BlackRock Inc. (NYSE: BLK) on its $550 million investment on behalf of clients in the development of STRATOS, the world's largest Direct Air Capture facility, in Ector County, Texas. Through a fund managed by its Diversified Infrastructure business, BlackRock has signed a definitive agreement to form a joint venture with Occidental (NYSE: OXY), through its subsidiary 1PointFive, that will own STRATOS. STRATOS is designed to capture up to 500,000 tonnes of carbon dioxide per year and is expected to provide cost-effective solutions that companies in hard-to-decarbonize industries can use in conjunction with their own emissions reduction programs. Construction activities for STRATOS are approximately 30 percent complete and the facility is expected to be commercially operational in mid-2025. The transaction, completed on December 10, 2024, comprised of a $436.3 million term loan, $147.2 million project letter of credit facility, $18.2 million DSR letter of credit facility and $10 million revolving credit facility. Kirkland & Ellis is advising KKR in connection with its strategic partnership with RWE to jointly realize RWE’s UK Norfolk Vanguard East and Norfolk Vanguard West offshore wind projects. The two new wind farms will have a combined generation capacity of approximately 3 GW. KKR and RWE will establish a 50:50 joint venture to build and operate the two windfarms, which require over $15 billion of total development and capital expenditure to make the windfarms operational by 2029 and 2030 respectively. Together, the offshore wind projects are expected to be able to power over 3 million UK homes with clean energy, further contributing to the UK government’s goal of doubling offshore wind capacity over the next 10 years. Kirkland & Ellis advised a subsidiary of Altus Power, Inc. in connection with the negotiation and closing of a $200 million credit facility from Blackstone. The facility is designed for the construction of commercial solar assets and includes capacity to fund costs including equipment, labor, interconnection as well as development fees. It’s a first-of-its-kind facility that leverages the strong appetite of insurance capital in providing long-term financing of solar assets.
