Kirkland & Ellis represented a consortium led by KKR on the acquisition of Telecom Italia’s (TIM) fixed line network. This is a historic milestone for the Italian telecommunications sector as TIM’s fixed line network has been integrated into FiberCop, creating a wholesale network accessible to all operators in Italy providing end-to-end connectivity services nationwide. The consortium led by KKR includes the Ministry of Economy and Finance of the Italian Government, ADIA, CPP Investments and infrastructure fund F2i Sgr. Simpson Thacher represented Travelex in connection with a Rule 144A and Regulation S offering by a finance subsidiary of €360 million aggregate principal amount of 8% Senior Secured Notes due 2022, as well as a new £90 million Revolving Credit Facility. The offering closed and the Revolving Credit Facility became available for drawing on May 5, 2017. Travelex used the net proceeds from the offering, as well as cash on balance sheet, to refinance outstanding indebtedness.~~Travelex was founded in 1976 and is a market leading independent foreign exchange business. Its business operates across 30 countries and covers the entire value chain of the retail foreign exchange industry. Kirkland & Ellis is representing KKR on its acquisition of WPP’s full equity position in FGS Global (FGS), the global communications and public affairs consultancy. The proposed transaction is supported by FGS management, builds on KKR’s initial minority investment in July 2023, and values FGS at $1.7 billion. As a result of the transaction, the equity interest of FGS’s over 500 employee shareholders will be approximately 26% of the company. The transaction is expected to close by the end of the year, subject to regulatory approvals and other customary closing conditions.
